EAGLE WRIGHT INNOVATIONS, INC. – Terms and Conditions
WARRANTY: All products are guaranteed for materials used and workmanship. All products are guaranteed to meet the specifications of for which they have been previously tested to perform and where applicable the equipment for which they are intended to run through.
LIMITATION OF LIABLITY: Eagle Wright Innovations, Inc. (hereafter EWI) warrants to the buyer and only to the buyer that the goods will be produced within normally accepted tolerances. Free of defects in workmanship and material, to either EWI specifications or, on specially made orders the buyers written specifications. In no case will EWI’s liability exceed the actual cost of the goods purchased. EWI will not be liable for any consequential damages, loss, or expense arising by reason of its acceptance or fulfillment of orders. Seller makes no representation, warranty or guarantee of any kind, express or implied of merchantability or fitness for a particular purpose. Buyer assumes all risk and liability for results obtained by the use of the goods, whether used singly or in combination with other products. Buyer shall determine the suitability of the goods for the purpose it is intended.
PRODUCT AVAILABILITY: EWI seeks to meet or exceed quoted ship dates based on information provided my raw goods and/or materials manufacturer availability schedule. Approved orders of in stock items ship within three (3) working days. Custom repeat orders will ship with three (3) weeks of approved order acceptance unless otherwise noted within 48 hours of order approval or at acceptance of the buyer within the purchase and or open order period. First time custom orders are shipped within four (4) weeks unless expressed longer on specialty items. Ship date will begin from approved artwork.
SPECIAL ITEMS: All special orders are to be confirmed in writing. Prepayment may be required. NO RETURNS on non-stock items will authorized unless defective in workmanship and/or material.
Printed Materials: All special orders are to be confirmed in writing. Customers must provide EWI with approved camera ready artwork (black and white) or digital media and submit sample intended finished product image. The customer/buyer must proof read and approve all proofs before going to press. The manufacturer’s sole responsibility is to correct its own product. A one-time charge for plates or set up may be added to the first order. All orders are subject to a 10% plus or minus variance on cases shipped or quantities ordered. Printed orders are FOB production facility unless otherwise specified.
FED EX / LTL shipments: There is a minimum per order handling charge of $4.94 that is added to all orders shipped FedEx or LTL.
PRICING: Price are F.O.B. plant unless otherwise specified. If delivered pricing is needed, call for a quote. Delivery charges will apply to quantity orders from each plant. All printed orders are F.O.B. plant.
FREIGHT: All prices are F.O.B. form producing plant. Freight is prepaid and added to the invoice unless specified otherwise.
PAYMENT TERMS:
U.S. Customers – Initial Orders: prepayment may be required on first time orders, except when open terms have been approved prior to order placement. EWI reserves the right to limit use of credit card acceptance. Prepayment may be made through wire transfer or ach debt from buyers banking institution upon proper paperwork and authorization being submitted.
U.S. Customers – EWI does not accept COD orders
U.S. Extension of terms customers– Extension of Open terms and Account Dollar Volume:
EWI standard terms are net 30 upon approved credit and are limited to a determined U.S. Dollar amount. Amounts beyond customers the determined credit limit based on the submitted order and/or current unpaid balances will be required to be paid in advance of the order being produced unless otherwise noted by EWI. The payment period is determined by the invoice date. All decisions with respect to the extension or continuation of terms to a customer are at the sole discretion of EWI. EWI reserves the right to hold shipments should EWI consider that an account’s balance has become too large, whether or not any invoices are past terms. EWI also reserves the right to require prepayment on specially made items.
International Customers: Orders must be prepaid in US dollars by Wire transfer or ACH debit method. Credit card may be accepted if approved by EWI and with subsequent surcharges
TAXES: Prices do not include sales, use excise or other taxes. EWI is required to collect sales/use taxes from any location unless appropriate tax exemption forms are submitted to EWI prior to the order. Exemptions on file are good for 1 year. Failure to submit new forms annually may result in sales tax being applied to an invoice.
Returned Checks: There is a $30.00 charge for all returned checks. Returned checks will not be redeposited. Repayment must be made by money order and include the returned check charge. EWI reserves the right to require a wire transfer or ach transfer of funds including the returned check charge.
Credit Cards: EWI accepts approved Credit Cards accounts with a 3% surcharge as well as reserves the right to charge a minimum $15.00 charge on rewards cards. Credit Cards are not kept on file. Customers on terms that wish to pay by credit card must contact EWI customer service for credit card payment agreement forms. EWI reserves the right to pass on surcharges incurred for the acceptance of credit cards.
CLAIMS: Title to goods is passed to the purchaser upon transfer of the Bill of Lading to the carrier. The customer must note on the delivery receipt any shortages or damages. EWI will not make adjustments without delivery receipt verification. It is the customer’s responsibility to initiate claims against a carrier when they select the carrier.
RETURNED GOODS POLICY: No returns will be authorized or accepted unless prior approval has been granted by EWI. All returns must be assigned an EWI return authorization code and a freight assignment. Disposition of freight charges will be determined at the time of the request for return. Only full cartons will be accepted for return unless prior approval, only goods invoiced within 90 days will be considered for return. Claims for a return must be made within 30 days upon receipt, EWI strongly encourages inspecting all boxes upon receipt. No obsolete goods may be returned. No special items may be returned unless defective in workmanship and/or material. Requests for return of stock items ordered in error must be made within 30 days of the invoice date. Returned merchandise is subject to a 20% restock charge.
CANCELLATION/CHANGE ORDER POLICY: Cancelled orders require compensation for costs incurred up to the point of order cancellation. Changed orders may also require compensation for costs incurred up to the point of the change. These costs may include special materials ordered and/or processed as well as any labor costs incurred up to the point of cancellation. Freight charges may be included for special material shipped to producing location prior to cancellation.
